By publishing assignments to the CodeGrade Community Library, you ("Teacher") agree to enter into this Content License Agreement ("Agreement") with CodeGrade BV, a Dutch private company with limited liability, and/or its affiliates referred to as “us”, “we” and “CodeGrade”.
1 Ownership and License
The Teacher warrants and represents that they are the sole author and owner of the content ("Content") they are uploading on the CodeGrade platform, and that it does not infringe upon any copyright, proprietary, or personal right of any third party. The Teacher hereby grants CodeGrade a non-exclusive, royalty-free, worldwide license to reproduce, distribute, publicly display and perform, and otherwise use the Content within the CodeGrade platform for use by other registered teachers.
2 Limitation on use
The licensed Content shall not be used or disclosed by CodeGrade or other teachers in any way outside the CodeGrade platform without the express written consent of the Teacher.
3 Liability
CodeGrade shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from the use of the Content by others within the platform.
4 Indemnification
The Teacher agrees to indemnify and hold harmless CodeGrade, its officers, directors, employees, and agents from any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from any breach or alleged breach of the Teacher’s representations or obligations under this Agreement.
5 Governing law
Dutch law and jurisdiction applies to these terms. CodeGrade is the trade name of CodeGrade B.V., a Dutch private company, registered in the Amsterdam chamber of Commerce as no. 72576863 with its registered office at Weteringschans 124H, 1017XT , Amsterdam, the Netherlands.
